Digital Marketing Services Agreement

These Terms and Conditions govern your use of ClickJoyMedia's premium digital marketing and mobile advertising services. By engaging our services, you acknowledge and agree to these terms.

1. Service Description

ClickJoyMedia provides premium digital marketing services specializing in:

  • Google Ads Management: Search, Display, YouTube, and App advertising campaigns
  • Social Media Advertising: Facebook, Instagram, TikTok, Snapchat, and LinkedIn campaigns
  • Mobile Marketing: mVAS (mobile Value Added Services) and premium content promotion
  • Performance Marketing: CPA-based campaign management and optimization
  • Creative Services: Landing page development, ad creative design, and conversion optimization

2. CPA-Based Partnership Model

2.1 Cost Per Acquisition Structure

Our services operate exclusively on a Cost Per Acquisition (CPA) basis, meaning:

  • You pay only for actual conversions/acquisitions delivered
  • No upfront advertising costs or management fees
  • CPA rates are agreed upon before campaign launch
  • Payment is due only upon successful conversion delivery
  • All advertising costs are absorbed by ClickJoyMedia

2.2 Conversion Definition

Conversions are defined as:

  • Completed user registrations with valid contact information
  • Successful subscription activations (for subscription services)
  • Qualified leads meeting agreed-upon criteria
  • App installs with initial engagement (where applicable)
  • Other specific actions as mutually defined in service agreements

3. Client Responsibilities

3.1 Content and Materials

  • Provide accurate product/service information and marketing materials
  • Ensure all promotional content complies with applicable laws and regulations
  • Grant necessary permissions for creative development and campaign execution
  • Maintain valid business licenses and regulatory compliance

3.2 Platform Compliance

  • Ensure products/services comply with Google Ads and social media platform policies
  • Provide necessary documentation for account verification processes
  • Maintain compliant landing pages and user experiences
  • Respond promptly to platform compliance requirements

3.3 Data and Analytics

  • Provide access to necessary tracking and analytics platforms
  • Install required conversion tracking codes and pixels
  • Share relevant performance data for optimization purposes
  • Maintain data accuracy and reporting transparency

4. ClickJoyMedia Responsibilities

4.1 Campaign Management

  • Professional campaign setup and optimization across all selected platforms
  • 24/7 monitoring and real-time bid adjustments
  • Regular performance reporting and strategic recommendations
  • Dedicated account management with direct communication channels

4.2 Quality Assurance

  • Deliver high-quality traffic with 96%+ real user engagement
  • Implement fraud detection and prevention measures
  • Maintain compliance with all platform advertising policies
  • Provide transparent reporting on traffic quality and sources

4.3 Creative and Technical Services

  • Develop high-converting ad creatives and landing pages
  • Implement advanced tracking and analytics solutions
  • Provide ongoing creative testing and optimization
  • Ensure mobile-optimized user experiences

5. Payment Terms

5.1 Payment Schedule

  • Net 30 payment terms from invoice date
  • Invoices issued monthly for delivered conversions
  • All payments processed in USD unless otherwise agreed
  • Late payment fees of 1.5% per month may apply to overdue amounts

5.2 Dispute Resolution

  • Conversion disputes must be raised within 7 days of delivery
  • All conversion data verified through third-party tracking platforms
  • Disputed conversions investigated with full transparency
  • Valid disputes result in credit adjustments on subsequent invoices

6. Performance Standards

6.1 Quality Metrics

  • Traffic Quality: Minimum 96% real user traffic guaranteed
  • Conversion Validity: All conversions verified through multiple tracking methods
  • Geographic Targeting: Precise geo-targeting with 95%+ accuracy
  • Device Optimization: Mobile-first approach with cross-device compatibility

6.2 Reporting and Transparency

  • Daily performance dashboards with real-time data
  • Weekly strategic review calls with dedicated account managers
  • Monthly comprehensive performance reports
  • Full transparency on traffic sources and campaign methodologies

7. Intellectual Property

  • Client retains all rights to their existing intellectual property
  • ClickJoyMedia retains rights to developed campaign methodologies and proprietary tools
  • Custom creative assets developed remain joint property for campaign use
  • Neither party may use the other's trademarks without written permission
  • Confidential information shared must be protected and not disclosed to third parties

8. Limitation of Liability

  • ClickJoyMedia's liability is limited to the total amount paid for services in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • Client acknowledges that digital marketing involves inherent risks and uncertainties
  • Platform policy changes or account suspensions beyond our control are not grounds for liability
  • Force majeure events (natural disasters, pandemics, etc.) excuse performance delays

9. Termination

9.1 Termination Conditions

  • Either party may terminate with 30 days written notice
  • Immediate termination allowed for material breach of contract
  • All outstanding payments due within 30 days of termination
  • Campaign data and creative assets transferred upon request

9.2 Post-Termination

  • Confidentiality obligations survive termination indefinitely
  • Client receives all campaign data and performance history
  • Transition assistance provided for 30 days post-termination
  • Non-compete restrictions do not apply post-termination

10. Compliance and Legal

10.1 Regulatory Compliance

  • All campaigns comply with applicable advertising regulations
  • GDPR, CCPA, and other privacy law compliance maintained
  • Industry-specific regulations (financial, health, etc.) strictly followed
  • Regular compliance audits and policy updates implemented

10.2 Platform Policies

  • Strict adherence to Google Ads, Facebook, and other platform policies
  • Immediate notification of any policy violations or account issues
  • Proactive policy monitoring and campaign adjustments
  • Account rehabilitation assistance if needed

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with international commercial law and the laws of the jurisdiction where services are primarily delivered. Any disputes arising under these terms shall be resolved through binding arbitration or in courts of competent jurisdiction.

12. Modifications

ClickJoyMedia reserves the right to modify these Terms and Conditions with 30 days advance notice. Continued use of services after modification notice constitutes acceptance of updated terms. Material changes affecting pricing or service delivery require explicit written agreement.
